1. Who these terms apply to
These terms apply to services provided by [registered business name], P.IVA [number] ("Optimolds", "we") to business clients ("you"). Your quote may add project-specific terms. If it conflicts with these terms, the quote wins.
2. Quotes and orders
Quotes describe the scope, deliverables, price and estimated timeline, and are valid for [30] days. A project starts once you accept the quote in writing [and pay any deposit].
3. Free feasibility check
The feasibility check is free and carries no obligation. It's an initial engineering opinion based on the information you provide, not a guarantee that a part will perform or can be manufactured.
4. Confidentiality
We treat your files and project information as confidential and use them only to deliver your project. We'll sign a mutual NDA on request. We won't show your project in our portfolio or marketing without your written permission.
5. Ownership of deliverables
[Confirm your policy.] Once you've paid in full, you own the project deliverables made specifically for you (such as CAD files, drawings and reports). We keep the right to use our general know-how, methods and templates, which aren't specific to your project.
6. Revisions
Each design quote includes [2] rounds of revisions within the agreed scope. Further changes, or changes to the scope, are quoted separately.
7. Approval before manufacturing
Manufacturing only starts after you've approved the final design in writing. Changes requested after approval may affect price and delivery date.
8. Payment

9. Delivery and shipping

10. Your inputs
Our analyses and designs depend on the information you give us, such as geometry, load cases, materials and process conditions. You're responsible for its accuracy and for final testing and validation of parts in their real application.
11. Liability
To the extent permitted by law, our total liability for any project is limited to the fees you paid for that project, and we aren't liable for indirect losses such as lost profit. Nothing in these terms limits liability that can't be limited by law.
12. Governing law
These terms are governed by Italian law. Disputes fall under the jurisdiction of the courts of [city], Italy.
